Persistent Systems Raises Nagarro Stake to 83.25%, Shares Dip 2%
Persistent Systems has increased its stake in German‑based software services firm Nagarro SE by acquiring an additional 75,68,145 shares, which represents approximately 61.15 % of Nagarro’s outstanding share capital excluding treasury shares. The acceptance period for this offer closed on 17 September 2026, after which Persistent’s aggregate holding rose to 83.25 % of Nagarro, again excluding treasury shares. This level surpasses the 50 % plus one share threshold required for a takeover bid under German law.
Following the announcement, Persistent Systems shares slipped in early trades on Wednesday 23 September. The stock opened at ₹5,400 crore and reached an intraday high of ₹5,413 per share before falling to ₹5,278.50 at 10:10 AM, a decline of 1.63 %. Since the start of the year, the share price has fallen 15 %, while over the past month it has slipped 6 %, and over the last six months it has risen 14 %. The shares have previously hit a 52‑week high of ₹6,599 on 23 December 2025 and a 52‑week low of ₹4,244.50 on 30 June 2026. As of 22 September 2026, Persistent’s market capitalisation stood at ₹84,648.65 crore.
Earlier this year, Persistent had already taken a 22.10 % stake in Nagarro, excluding treasury shares, through a share purchase agreement with Lantano Beteiligungen GmbH. The new acquisition brings the total holding to 83.25 %. An additional acceptance period will run from 23 September to 6 October 2026, allowing remaining shareholders to tender their shares at the same cash consideration of EUR 81 per share under the German Securities Acquisition and Takeover Act (WpÜG). The takeover offer was executed through Galaxy Germany Holding SE, a wholly‑owned direct subsidiary of Persistent Systems.
Sandeep Kalra, Chief Executive Officer and Executive Director of Persistent Systems, said the offer provides Nagarro shareholders an attractive opportunity to realise full and immediate value. He added that the success of the offer confirms its appeal and the strategic logic behind combining Persistent and Nagarro, and that the company looks forward to completing the remaining steps toward closing the deal so it can begin building the global AI‑led digital engineering leader envisioned together.
After consummation, Persistent will act on a taking‑private strategy and intends to terminate the admission of Nagarro shares to trading on the regulated market (Prime Standard) of the Frankfurt Stock Exchange and on the open market of other exchanges as soon as practicable and legally feasible. Termination of admission will result in Nagarro being excluded from the SDAX and a reduction in liquidity of its shares.
Persistent will disclose the final number of shares tendered after the expiry of the additional acceptance period. As of 22 September 2026, the company’s total market capitalisation was ₹84,648.65 crore, and its shares have previously reached a 52‑week high of ₹6,599 on 23 December 2025 and a 52‑week low of ₹4,244.50 on 30 June 2026. During the early trades on 23 September, the stock fell to ₹5,278.50 at 10:10 AM, a decline of 1.63 %. The shares have since slipped 6 % over the past month and risen 14 % over the last six months.
